Terms of Service

These Terms of Service ("Terms") are an agreement between you and Nova Desk Inc. ("Nova Desk," "we," "our"), the company behind Nova, an AI assistant application for macOS. By downloading, purchasing, installing, or using Nova — or by visiting our website — you agree to these Terms. Please read them carefully. If you do not agree, do not use the app.

License Grant

We grant you a personal, non-exclusive, non-transferable, and revocable license to install and use Nova on macOS computers that you own or control, for your own internal purposes. The license is granted for the duration of your entitlement to the version of the app you purchased, and it does not extend to any person or entity other than you. You may not install the app on devices you do not own, and you may not use a single license across an organization without a separate agreement with us. Activation of the app confirms that the license key belongs to you.

Fees and Refunds

Nova is sold as a one-time purchase at the price displayed on our website at the time of checkout (currently $19 USD). The purchase price is a single payment; there are no recurring fees, subscriptions, or maintenance charges. Payment is due at checkout and is processed by our third-party payment provider. If you are unhappy with Nova, you may request a refund within fourteen (14) days of purchase by emailing support@nova-desk.top with the email address used at checkout. Refunds are returned to the original payment method. After 14 days, refunds are granted only where required by applicable law. Prices do not include taxes, which may be added at checkout where required.

You agree to use Nova in a lawful manner and to respect our rights. You may not:

Intellectual Property

Nova — including its code, architecture, interface, artwork, documentation, and trademarks — is the exclusive property of Nova Desk Inc. and its licensors. Nothing in these Terms transfers ownership of any intellectual property to you. Your license is a right to use, not a sale of the app. Feedback you send us about Nova is welcome; by sending it you grant us a perpetual, royalty-free license to use that feedback to improve our products, without any obligation to you.

Warranty Disclaimer

THE APP IS PROVIDED "AS IS" AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT NOVA WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE COMPATIBLE WITH EVERY HARDWARE OR SYSTEM CONFIGURATION. AI-generated output may be inaccurate or unsuitable for your purposes; you are responsible for reviewing and verifying any output before relying on it. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT PERMITTED.

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA DESK INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF NOVA. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE FEES YOU PAID FOR NOVA OR ONE HUNDRED DOLLARS ($100). THIS CAP APPLIES EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

These Terms remain in effect until terminated. You may terminate them at any time by uninstalling Nova and destroying all copies in your possession. We may terminate these Terms and your license immediately if you breach any provision, if we suspect fraud or piracy, or if continued provision of the app becomes impractical for legal or commercial reasons. Upon termination, your right to use Nova ends, and you must uninstall the app and delete all copies. Sections that by their nature should survive — including Intellectual Property, Warranty Disclaimer, Liability Cap, and Dispute Resolution — will survive termination.

Dispute Resolution & Arbitration

We hope disagreements never arise, but if one does, you agree to the following process. First, you will contact us at support@nova-desk.top and attempt to resolve the matter informally within 30 days. If the dispute is not resolved informally, either party may elect to resolve it by binding individual arbitration administered under the rules of the American Arbitration Association, with the arbitration seated in San Francisco, California. You and we each waive the right to a jury trial and the right to participate in class, collective, or representative actions, except where prohibited by law. Nothing in this section prevents either party from seeking injunctive or equitable relief in court for infringement of intellectual property rights.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to the arbitration provision above, any court proceedings shall be brought exclusively in the state or federal courts located in San Francisco County, California, and both parties consent to the jurisdiction of those courts. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Nova Desk regarding the app and supersede any prior agreements. Our failure to enforce a provision is not a waiver of it.
